Terms of Service
Vallis
Effective date: October 6, 2026
Last updated: October 6, 2026
1. Agreeing to these Terms
These Terms of Service (“Terms”) are an agreement between you and Vallis LLC (“Vallis,” “we,” “us”). They cover the Vallis mobile app for iPhone and Android, the website at https://vallis.app, and the guest pages that open from links sent through Vallis (together, the “Service”).
By creating an account, using the app, or using a guest link, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy explains what information we collect and how we use it. It is part of how the Service works, so please read it too.
2. What Vallis is, and what it is not
Vallis helps the person who paid a group bill figure out who owes what and ask for it back. You can scan a receipt or enter items yourself, assign items to people, add tax and tip, and send each person a request.
Vallis does not move money. Specifically:
- Vallis is not a bank, payment processor, money transmitter, escrow service, lender, or debt collector.
- We never receive, hold, or send funds, and we never see your card or bank details.
- When someone pays, they pay on a third-party app (such as Venmo, Cash App, or PayPal) or however you agree between yourselves. Vallis only opens that app or your phone’s messaging app with details filled in.
- We are not a party to any payment, and we are not responsible for whether a payment is sent, received, reversed, delayed, or sent to the wrong person. Problems with a payment are between you, the other person, and the payment provider.
- Vallis does not guarantee that anyone will pay you. Marking a split “paid,” or a guest reporting “I already paid,” is a record you and your friends keep, not confirmation that money arrived.
3. Who can use Vallis
You must be at least 18 to create an account. If you are under the age of majority where you live, you may use Vallis only with the involvement of a parent or guardian who agrees to these Terms.
The Service is not directed at children under 13, and we do not knowingly collect information from them (see the Privacy Policy).
You may not use Vallis if you are barred from doing so under applicable law, including U.S. sanctions and export laws (see §13.9).
4. Accounts and guests
4.1 Your account
You can sign up with an email and password, or with Sign in with Apple or Google. You agree to give accurate information, keep your login secure, and tell us promptly at the contact address in §17 if you think someone else is using your account. You are responsible for activity under your account.
You can delete your account at any time in the app (Settings, then Account, then Delete account) or on the web at https://vallis.app/delete-account. What gets deleted, and when, is described in the Privacy Policy.
4.2 Guests
People you split with do not need an account. When you send them a link, they can open a guest page on vallis.app to claim the items they had or to see what they owe and report that they paid.
- A guest link is the only key to that page. Anyone who has the link can see that one person’s view of that one split, so treat links like keys and send them only to the right person.
- Claim links expire after 14 days and payment links after 45 days, and the sender can revoke a link at any time.
- By using a guest page, guests agree to these Terms as they apply to guest pages (mainly §2, §7, §11 and §12). Guest pages show a short line with a link to these Terms.
5. Using the Service: splits, scans, and accuracy
5.1 Receipt scanning
When you scan a receipt, the photo is sent to a third-party text-extraction provider that reads the printed text and returns it as line items, tax, tip and totals. Handling of receipt photos is described in the Privacy Policy.
5.2 The numbers are estimates you must check
Receipt reading is automated and can be wrong. It can misread a price, miss or duplicate an item, misread a discount, or fail on a faded or unusual receipt. Vallis may flag a mismatch against the receipt’s printed total, but it will not catch every error.
Split math is also an estimate of what is fair, not a statement of what anyone legally owes. Vallis shares tax, tip, fees and discounts in proportion to each person’s items, rounds to the cent, and assigns any leftover cent so the shares add back up to the total (usually to you, the host).
Before you send any request, you are responsible for reviewing and correcting the items, prices, tax, tip, assignments, and each person’s total. Vallis is not responsible for amounts you request or pay based on a split you did not check.
5.3 Scan limits and fair use
Free accounts include a limited number of receipt scans (currently 3 per month). Manual splits, where you type the items yourself, are unlimited on every plan. To protect the Service, all plans, including Gold, are subject to reasonable rate limits (for example, a cap on scans per hour). We may change these limits; current limits are shown in the app.
5.4 Changes and availability
Vallis is a young product. We may add, change, or remove features, and the Service may sometimes be unavailable, slow, or lose data. Keep your own record of anything important, such as what someone owes you.
6. Requests, reminders, recurring splits, and the people you add
6.1 You send the messages, not Vallis
When you request money or send a reminder, Vallis opens Venmo or your phone’s own messaging app with a message filled in. You choose whether to send it, and it goes from your own phone number or payment account. Vallis does not send texts or reminders to other people on your behalf.
You are responsible for the messages you send, including their content, how often you send them, and following the laws that apply to your messages. Do not use Vallis to harass anyone or to send messages a person has asked you not to send.
6.2 Recurring splits
If you set up a recurring split (for example rent or a utility bill), Vallis creates a new open split for it on the scheduled day, typically when you next open the app. It does not message anyone automatically. You decide whether and when to send the requests. You are responsible for keeping the amount, the people, and each share up to date.
6.3 Information about other people
To split a bill you add other people’s names and, if you choose, their phone numbers or payment handles, either by typing them or by picking them from your contacts. By adding someone, you confirm that you have a legitimate reason to share their details with us for the purpose of splitting a bill with them, and that they would reasonably expect it. The Privacy Policy explains how we handle this information and how people can ask us to remove it.
6.4 Your payment handles
If you save your own payment handles (for example your Venmo username, Cash App $cashtag, or PayPal.me name), Vallis shows them on payment pages so people can pay you. You are responsible for making sure your handles are correct. Vallis is not responsible for money sent to a wrong or outdated handle.
7. Acceptable use
You agree not to:
- Use Vallis for anything illegal, fraudulent, or deceptive, including requesting money that is not owed or impersonating someone.
- Use Vallis to harass, threaten, spam, or abuse anyone.
- Upload images or content that are unlawful, infringe someone else’s rights, or contain sensitive information about others that is not needed to split a bill.
- Try to access another user’s data, guess or share guest links you were not meant to have, or get around security, scan limits, or subscription checks.
- Reverse engineer, scrape, overload, or interfere with the Service, except where the law allows despite this restriction.
- Use automated means to create accounts, run scans, or join the waitlist.
- Resell the Service or use it to build a competing product.
We may remove content, limit features, or suspend accounts that break these rules (see §14).
8. Your content
8.1 You own your content
“Your content” means what you put into Vallis: receipt photos, items and prices, split details, names and numbers of people you add, and notes. You keep ownership of it.
8.2 License you give us
You give Vallis a limited, non-exclusive, worldwide, royalty-free license to host, store, process, copy, and display your content only as needed to run, secure, and improve the Service for you, including sending receipt images to our text-extraction provider and showing the relevant parts of a split to the people you send links to. This license ends when your content is deleted from our systems, as described in the Privacy Policy.
We do not sell your content, and we do not use your receipts or splits to train AI models.
8.3 Receipt photos
By default, Vallis does not keep your receipt photos after reading them. Gold members can turn on “Keep receipt photos” in Settings to save the photo with each new split. The Privacy Policy explains how long saved photos are kept and when they are deleted.
8.4 Feedback
If you send us ideas or feedback, we may use them without any obligation to you.
9. Gold subscription and billing
9.1 Free and Gold
Vallis has a free plan and a paid membership called Gold. Gold currently adds features such as unlimited receipt scans (subject to §5.3), saved receipt photos, balances and reminders across splits, and recurring splits. Gold costs $2.99 per month or $24.99 per year (U.S. prices; the price in your local currency is shown in the app store before you buy). The current features and price are always shown in the app before you buy. We may change what is included in Free or Gold; if we remove a major Gold feature during a paid period, we will tell you in advance.
9.2 Purchases through Apple and Google
Gold is sold as an in-app subscription through the Apple App Store or Google Play. Your purchase is handled by Apple or Google, under their terms, and charged to your Apple ID or Google account when you confirm it. Vallis does not receive your payment details. We use a subscription service provider to check and keep track of your subscription status.
9.3 Automatic renewal
- Gold renews automatically at the end of each billing period (monthly or yearly) at the then-current price, unless you cancel at least 24 hours before the current period ends.
- Your account is charged for renewal within 24 hours before the current period ends.
- To cancel, use your subscription settings on your device: on iPhone, Settings, then your name, then Subscriptions; on Android, the Google Play Store app, then Payments and subscriptions, then Subscriptions. Deleting the app, or deleting your Vallis account, does not cancel a store subscription.
- When you cancel, you keep Gold until the end of the period you already paid for.
- If we change the price, Apple or Google will notify you as their rules require, and in some cases ask you to agree before the new price applies.
9.4 Free trials
New Gold members may be offered a 14-day free trial. Unless you cancel at least 24 hours before the trial ends, it converts to a paid subscription and you will be charged. If you buy a subscription during a trial, any unused part of the trial ends.
9.5 Refunds
Because Apple and Google process payments, refund requests go to them under their refund policies (Apple, Google Play). Vallis cannot issue refunds for store purchases. Except where the law requires otherwise, payments are non-refundable and there are no refunds or credits for partial periods.
9.6 Promotional access
We may sometimes give Gold for free (for example to testers). Promotional access can be ended at any time and has no cash value.
10. Third-party services and app stores
10.1 Third-party services
Vallis connects to services we do not control, including Venmo, Cash App, PayPal, your phone’s messaging app, Apple and Google sign-in, and the app stores. Your use of those services is governed by their own terms and privacy policies. We are not responsible for them, including their availability, fees, errors, or decisions about your account. A payment app may change or stop supporting the links Vallis uses at any time.
Vallis is not affiliated with, endorsed by, or sponsored by Venmo, Cash App, PayPal, Apple, or Google. Their names are trademarks of their owners.
10.2 Google Play
If you got Vallis from Google Play, you also agree to the Google Play Terms of Service, and purchases are subject to Google Play’s policies.
10.3 Apple App Store: additional terms
If you got Vallis from the Apple App Store, these additional terms apply, and they control over anything else in these Terms that conflicts with them:
- Acknowledgement. These Terms are between you and Vallis LLC only, not Apple. Vallis, not Apple, is solely responsible for the app and its content.
- Scope of license. Your license to use the app is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
- Maintenance and support. Vallis is solely responsible for any maintenance and support for the app, as described in these Terms or as required by law. Apple has no obligation at all to provide maintenance and support for the app.
- Warranty. Vallis is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses caused by a failure to conform to a warranty are Vallis’s responsibility, to the extent not disclaimed.
- Product claims. Vallis, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession and use of it, including (a) product liability claims, (b) any claim that the app fails to conform to any applicable legal or regulatory requirement, and (c) claims under consumer protection, privacy, or similar laws. These Terms do not limit Vallis’s liability to you beyond what applicable law permits.
- Intellectual property. If a third party claims that the app or your possession and use of it infringes their intellectual property rights, Vallis, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
- Legal compliance. You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Developer name and address. Questions, complaints, or claims about the app should go to Vallis LLC at the contact details in §17.
- Third-party terms. You must comply with applicable third-party terms when using the app (for example, your wireless data service agreement).
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right (and is deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
11. Our intellectual property and your license to use the app
Vallis, including the app, website, design, and software, is owned by Vallis LLC and its licensors and protected by law. Subject to these Terms, we give you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the app on devices you own or control, for your own non-commercial use. We keep all rights not expressly given to you. You may not use our name or logo without our written permission.
12. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent the law allows, Vallis disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.
Without limiting that, we do not promise that:
- receipt reading, split calculations, balances, or reminders will be accurate or complete;
- anyone will pay you, or that a payment link will work;
- the Service will be uninterrupted, secure, error-free, or free of data loss; or
- third-party services will work with Vallis.
Vallis is a tool for organizing shared costs, not financial, tax, or legal advice. Some places do not allow certain disclaimers, so some of these may not apply to you.
13. Limitation of liability, indemnity, and other legal terms
13.1 Limitation of liability
To the fullest extent the law allows:
- Vallis and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or money you were owed or paid, arising from or related to the Service, even if we were told they were possible.
- Our total liability for all claims related to the Service is limited to the greater of (a) the amount you paid Vallis for Gold in the 12 months before the claim arose, or (b) $100.
These limits apply whatever the legal theory, and even if a remedy fails of its essential purpose. Some places do not allow these limits, so they may not fully apply to you.
13.2 Disputes between users
Vallis is not a party to arrangements between you and the people you split with. You release Vallis from claims arising from disputes with other users or guests, including over who owes what or whether someone paid, to the fullest extent the law allows.
13.3 Indemnity
You agree to defend, indemnify, and hold harmless Vallis LLC and its members, managers, employees, and agents from claims, losses, and costs (including reasonable attorneys’ fees) arising from your content, your messages and requests to other people, your misuse of the Service, or your violation of these Terms or anyone’s rights.
13.4 through 13.9 General terms
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and Vallis about the Service.
- Severability. If any part of these Terms is unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a term right away, we have not given up the right to enforce it later.
- Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets.
- Events outside our control. We are not liable for delays or failures caused by things outside our reasonable control, such as outages at our hosting or payment-app partners.
- Export and sanctions. You may not use the Service in violation of U.S. export control or sanctions laws.
- Electronic notices. You agree we may send you notices about the Service by email or in the app.
14. Suspension and termination
You can stop using Vallis and delete your account at any time (§4.1). Deleting your account does not cancel a store subscription; cancel that through Apple or Google (§9.3).
We may suspend or close your account, or limit features, if you break these Terms, create risk or legal exposure for Vallis or others, or if we stop offering the Service. Where reasonable, we will tell you first. If we stop offering the Service entirely, we will give reasonable advance notice.
Sections that by their nature should survive termination will survive, including §2, §8.2 (until deletion), §9.5, and §11 through §16.
15. Changes to these Terms
We may update these Terms as the Service changes. We will update the date at the top, and for material changes we will give notice in the app or by email before they take effect. If you keep using Vallis after the changes take effect, you accept them. If you do not agree, stop using Vallis and delete your account.
16. Governing law and disputes
Governing law. These Terms are governed by the laws of the State of Illinois and applicable U.S. federal law, without regard to conflict-of-law rules.
Informal resolution first. Before filing a claim, you agree to contact us at the address in §17 and try to resolve it informally for at least 30 days. We will do the same.
Courts. Any dispute will be resolved exclusively in the state or federal courts located in Will County, Illinois, and you and Vallis consent to their jurisdiction. Either party may bring an individual claim in small claims court.
If you live in the EU, UK, or elsewhere where local consumer law gives you rights that cannot be waived, nothing in these Terms takes those rights away, including your right to bring claims in your local courts.
